CIPC Company Restoration

CIPC Company Restoration is one of the CIPC Secretarial Services that we offer to clients all over South Africa, this ia process by which a Company gets re-registered after being de-registered. The main cause of de-registration of a Company is failure to submit annual returns.

3 scenarios where a company can be restored

  • if the company owns fixed property
  • if the company can prove that it has continued to trade after the deregistration or
  • by a court order.

Documents and information required

  1. Certified ID Copy of Member/Director
  2. Name of Company
  3. Company Documents.
  4. Income Tax No. ( If applicable )
  5. If Company owns immovable property, full property description & Deeds office where property was registered and Title Deed. ( If applicable )
  6. If Company owns immovable property, a Municipal Account in the name of the Close
  7. Corporation/Company is required ( If applicable )
  8. Power of attorney which gives us authority to restore the Company (which will be sent to you via email once the order is placed).
  9. Bank Statements showing activity during de-registration period.
    • CIPC requires proof that your company was active before, during and after the deregistration, therefore the 12 month bank statements must show the 6 months trading before and 6 months trading after the deregistration date.
  10. A signed rental agreement that existed during the period of de-registration.

Turn aroung time: 30 to 40 days days from date of Payment.

The above price includes:
  • Drafting of the affidavit
  • Obtaining letter from Department of National Treasury
  • Obtaining letter from Department of Public Works
  • Drafting of advertisement and placing it in the local newspaper
  • Conducting a Deed Office Search (Windeed)

The process

The advertising process takes 21 business days.

Please Note: Proof of an advertisement placed in a local newspaper giving 21 days notice of the proposed application of reinstatement. CIPC require the full page reflecting the date and name of the newspaper.

An example of the wording should be:

Please take notice that (name of member) intends making application to the Commissioner of CIPC for the reinstatement of (Name & Registration number of the company) Please take notice that any objection to the application must be lodged with the Commissioner of CIPC within twenty one (21) days of the date of the publication hereof.

Only after 21 business days have lapsed can we proceed further with the application.

This Company Restoration process takes 3-5 business days after the advertisement process. However, If there is a delay from CIPC due to excessive workload, the process could take longer.

Once the Company has been restored, you will receive documents which inform you that the status of your Company is undergoing a ‘Re-Instatement Process’.

Annual Returns Filling charges are not included, we can thereafter invoice you for the Annual Returns Filling and once annual returns have been submited within 30 days upon receipt of the Reinstated documents, your Company will automatically change its status to ‘In Business’

The submittion of annual returns will only be processed once the status of the Company changes to ‘Re-Instatement Process’, CIPC fees for annual returns will be communicated to you.
